1. Agreement to Terms

By accessing or using Headless Analytics ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. Nothing in these Terms limits mandatory rights under applicable consumer protection laws.

2. Description of Service

Headless Analytics provides analytics and tracking services for Shopify stores, including page view tracking, visitor analytics, e-commerce metrics, and optional Meta Conversions API integration.

3. Account Registration

To use our Service, you must:

∙ Have a valid Shopify store
∙ Provide accurate and complete information
∙ Maintain the security of your account credentials
∙ Be at least 18 years old or have parental consent

You are responsible for all activities that occur under your account.

4. Free Trial

All plans include a 14-day free trial (except Agency plan). No payment is required to start. At the end of the trial period, you will be billed according to your selected plan unless you cancel before the trial ends.

5.5 Order Limits

Plans are measured by the number of orders processed per month. Stores consistently exceeding their plan's order limit will be contacted to upgrade to the next tier. Enterprise customers requiring limits beyond 10,000 orders/month should contact us for custom pricing.

6. Billing and Payment

6.1 All payments are processed through Shopify's billing system.

6.2 Paid plan subscriptions are billed monthly in advance, following the end of the 14-day free trial.

6.3 Prices are subject to change with 30 days notice.

6.4 Refunds are provided at our sole discretion. We may offer prorated refunds for technical failures or service outages lasting more than 48 hours. No refunds for change of mind, partial usage, or immediate cancellations, except where strictly required by applicable law (e.g., statutory withdrawal rights for EU consumers).

6.5 Failure to pay may result in service suspension or termination.

6.6 No Hidden Fees: The advertised subscription price is all-inclusive. There are no additional setup fees, transaction fees, or hidden charges. Applicable taxes may apply based on your jurisdiction and will be clearly disclosed before payment.

7. Cancellation and Termination

7.1 You may cancel your subscription at any time through the billing management interface.

7.2 Upon cancellation, your plan remains active until the end of the current billing period, after which the Service will be terminated.

7.3 We reserve the right to suspend or terminate accounts that violate these Terms.

7.4 Data Purging: Upon account termination, all data will be retained for 30 days before permanent deletion. After this window has passed, data cannot be recovered under any circumstances. You must export your data before termination if you wish to retain it.

7.5 Upon plan downgrade, data exceeding the new plan's retention limit will remain accessible for 30 days, after which it will be permanently deleted. You may export your data during this recovery window.

8. Acceptable Use

You agree not to:

∙ Use the Service for any illegal purpose
∙ Attempt to gain unauthorized access to our systems
∙ Interfere with or disrupt the Service
∙ Reverse engineer or attempt to extract source code
∙ Use the Service to track users without proper consent
∙ Exceed rate limits or abuse the API
∙ Resell or redistribute the Service without permission
∙ Use the Service in a manner that violates any applicable laws, including data protection regulations (GDPR, CCPA, etc.)

9. Data Ownership and Usage

9.1 You retain ownership of all data collected through your store.

9.2 For purposes of data protection laws, you act as the data controller and we act as a data processor.

Processing is performed solely to provide the Service.

9.3 We may use aggregated, anonymized data (stripped of all identifiable information) for service improvement, performance benchmarking, and analytics. This data cannot be used to identify individual stores or end users.

9.4 You grant us permission to process your data as described in our Privacy Policy.

9.5 You are responsible for complying with privacy laws (GDPR, CCPA, etc.) in your jurisdiction.

9.6 For EU/EEA users: You have rights under GDPR including access, rectification, erasure, and data portability. Contact us at support@headless.life for requests.

9.7 For California users (if CCPA applies): You have rights to know what data is collected, request deletion, and opt-out of data sales. We do not sell personal data.

9.8 No Data Selling Pledge: We will never sell, rent, or monetize your analytics data or your customers' data to third parties. Your data is used solely to provide the Service to you. We do not share data with advertisers or data brokers.

9.9 Data Portability: You may export your analytics data at any time in standard formats (CSV, JSON) through the Service's export functionality. Upon account termination, you have 30 days to export your data before it is permanently deleted.

10. Service Availability

10.1 We strive for 99.7% uptime but do not guarantee uninterrupted service.

10.2 We may perform maintenance that temporarily affects availability.

10.3 We are not liable for service interruptions beyond our control, including but not limited to: Cloudflare outages, DDoS attacks, acts of God, internet service provider failures, or third-party API downtime (Shopify, Meta, etc.).

In the event of prolonged outages (>48 hours) due to our infrastructure, we may provide account credits or prorated refunds at our discretion.

11. Intellectual Property

The Service, including all software, designs, and content, is owned by Headless Analytics and protected by copyright and other intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

12. Limitation of Liability & Risk

12.1 USE AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS".

12.2 WE ARE NOT RESPONSIBLE FOR ANY LOSS OF REVENUE, PROFITS, OR DATA TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12.3 WE DO NOT GUARANTEE ANY SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO HIGHER CONVERSION RATES OR INCREASED SALES.

12.4 OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS.

12.5 We are not responsible for data accuracy or decisions made based on analytics data.

12.6 Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or willful misconduct.

13. Indemnification

You agree to indemnify and hold harmless Headless Analytics from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Third-Party Services & Meta CAPI

14.1 Our Service integrates with third-party services (Shopify, Meta). We are not responsible for the availability, accuracy, or policies of these third-party services.

14.2 By connecting Meta Conversions API (CAPI), you explicitly authorize us to transmit data to Meta on your behalf. We act solely as a technical intermediary.

14.3 User Responsibility: You represent that you have obtained necessary consents to share data with Meta. You are responsible for compliance with applicable privacy laws. We provide technical infrastructure only and are not liable for your consent practices or Meta's data handling.

14.4 We are not responsible for how Meta uses, stores, or processes this data, nor are we liable for any account suspensions or tracking issues resulting from Meta's platform policies. Note: Account suspensions related to legitimate CAPI integration are extremely rare—Meta primarily targets fraudulent activity, policy violations, and malicious actors. Using our Service as intended carries minimal risk.

14.5 Data Transmission: When Meta CAPI is enabled, we transmit hashed conversion data (email addresses and other identifiers are cryptographically hashed via SHA-256) to Meta's servers. We do not store unhashed personally identifiable information (PII). You remain responsible for obtaining user consent for this data transmission.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

16. Dispute Resolution & Arbitration

16.1 Governing Law: These Terms are governed by the laws of the Republic of Georgia. For EU customers, nothing in these Terms affects your mandatory consumer rights under EU law or the law of your country of residence.

16.2 Disputes: Business customers agree to resolve disputes through Republic of Georgia Arbitration Court. Consumer customers (B2C) may bring claims in their local courts as provided by applicable consumer protection laws.

16.3 Class Actions: To the extent permitted by law, you agree to bring claims individually, not as part of a class action.

18. Privacy Policy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you consent to our Privacy Policy.

19. Cookie Tracking and Consent

19.1 Our tracking pixel uses cookies and similar technologies to collect behavioral data.

19.2 Merchants are responsible for obtaining proper consent from their store visitors where required by law (e.g., GDPR cookie consent in EU).

19.3 We provide documentation on cookie usage to assist merchants in creating compliant consent notices.

19.4 Merchants must include our cookie usage in their own privacy policies.

20. Infrastructure & Data Transparency

20.1 Backend Infrastructure: Our Service runs on Cloudflare Workers edge computing platform, ensuring low-latency request processing and global distribution.

20.2 Data Storage: Analytics data is stored in ClickHouse databases. Our current data infrastructure is hosted in the United States. We will provide advance notice before migrating data storage to Switzerland.

20.3 Data Centers: All data centers employed by our infrastructure providers maintain industry-standard security certifications (SOC 2 Type II, ISO 27001).

20.4 Subprocessors: We may use third-party subprocessors to provide the Service. A current list of subprocessors is available upon request.

20.5 Data Location Changes: If we materially change where your data is processed or stored, we will notify you via email with at least 30 days advance notice where practicable.

21. Data Breach Notification

21.1 In the event of a confirmed data breach affecting your personal data or store analytics data, we will notify affected users within 72 hours of becoming aware of the breach, in accordance with GDPR Article 33 and similar regulations.

21.2 Our notification will include: a description of the breach, the types of data affected, likely consequences, and the measures we are taking to address it.

21.3 We will provide this notification via email to the account email address on file, unless prohibited by law enforcement for legitimate investigation purposes.

21.4 We maintain appropriate technical and organizational security measures to prevent breaches, including encryption at rest and in transit, access controls, and regular security audits.
